These Terms & Conditions (“Terms”) govern the services provided by PS Tokyo (“we,” “us,” or “our”) to any client (“Client” or “you”).
The version of these Terms in effect at the time you confirm an order, provide written acceptance, or make a payment shall apply to that transaction.
We may update these Terms from time to time without prior notice. Any updates will become effective upon publication on this website.
Unless otherwise stated, updates will not apply retroactively to orders or services that have already been confirmed or paid for.
By requesting our services, confirming an order, or making a payment, you acknowledge that you have read, understood, and agreed to these Terms.
1. Scope of These Terms
These Terms apply to all services provided by PS Tokyo, including coordination, sourcing, planning, and related support services.
Certain services are provided by independent third-party operators and are subject to their own terms, conditions, licenses, and insurance coverage, as described below.
2. Definitions
- “PS Tokyo” refers to the operating entity providing coordination and sourcing services.
- “Client” refers to any individual or entity requesting or receiving services from PS Tokyo.
- “Service” refers to any services described in Section 3 and specifically detailed in the order.
- “Third-Party Service Provider” refers to any operator, business, or individual not owned or controlled by PS Tokyo.
- “Custom Order” refers to any made-to-order, bespoke, or one-off product or build coordinated at the Client’s request.
3. Overview of Our Services
PS Tokyo provides the following categories of services:
- Cultural & Travel Planning Services
- Driving Experiences & On-Road Activities
- Vehicle Rental & Transportation Services
- Sourcing & Shipping Services; and
- Custom & One-Off Build Coordination
Each category is governed by the specific terms outlined in the sections below, which are generally applicable to these Terms.
4. Cultural & Travel Planning Services
PS Tokyo may assist with travel itinerary planning, cultural experiences, destination suggestions, accommodation and restaurant recommendations, and on-site attendance or guidance where agreed.
These services are provided as planning, coordination, and advisory support only.
PS Tokyo does not own, operate, or control these third-party services ( hotels, restaurants, venues, or cultural facilities, etc) and assumes no responsibility or liability for the quality, safety, availability, or outcomes of services provided by third parties.
You agree to use such third-party services at your own risk and expense.
5. Driving Experiences & On-Road Activities
(High-Risk Activities Disclaimer)
Driving-related activities, including ride-alongs, on-road tours, and circuit experiences, involve inherent risks.
Such activities are provided by licensed and insured third-party operators and are subject to their own terms, safety standards, and insurance coverage.
PS Tokyo acts solely as an intermediary and coordinator and does not operate vehicles, provide driving instruction, or supervise driving activities.
By participating, the Client acknowledges and accepts all associated risks, including personal injury, property damage, or loss, and agrees that PS Tokyo bears no responsibility or liability for such activities.
6. Vehicle Rental & Transportation Services
Vehicle rental and transportation services are provided by independent third-party companies.
All contracts, insurance coverage, liabilities, accidents, fines, and legal responsibilities are governed exclusively by the terms and policies of the respective providers.
PS Tokyo’s role is limited to introduction and coordination only.
You agree to use such third-party services at your own risk and expense.
7. Sourcing & Shipping Services
PS Tokyo may assist with sourcing automotive parts within Japan and coordinating international shipment.
Our responsibilities include coordination of local purchases on behalf of the Client, visual inspection prior to shipment, photographic documentation of the item’s condition, packing, and coordination with shipping carriers.
Once the item is handed over to the carrier in the country of sourcing, responsibility for loss, damage, or delay transfers to the Client, and may be mitigated with shipping insurance.
Shipping Insurance
The decision to add shipping insurance rests solely with the Client.
If insurance is declined, the Client assumes all risks associated with transit ex-Japan.
Client will be solely liable for international freight, import duties, taxes, and customs clearance in the destination country.
PS Tokyo shall assist the Client with paperwork to the extent reasonably possible.
PS Tokyo is not responsible for installation errors, incorrect usage, normal wear and tear, environmental factors, or long-term degradation.
8. Custom & One-Off Build Coordination
(Custom Order Addendum)
Custom Orders include made-to-order parts, bespoke components, and any items produced or modified specifically at the Client’s instructions.
The following conditions apply to all Custom Orders:
- All Custom Orders are non-refundable and non-returnable once the order has been confirmed.
- Cancellations are not permitted after order confirmation.
- Delivery timelines are estimates only and may vary due to production processes, materials, or artisan availability.
- Minor variations in finish, dimensions, or appearance are inherent to handcrafted or custom-made products and do not constitute defects.
- PS Tokyo acts as a coordinator and intermediary only and does not manufacture the products.
- Liability for Custom Orders is strictly limited to coordination services and is subject to these Terms.
By confirming a Custom Order, the Client acknowledges and agrees to this Custom Order Addendum.
9. Manufacturer Warranty & Support
Any manufacturer’s warranty is provided solely by the manufacturer.
PS Tokyo may assist as an intermediary for communication purposes only and does not guarantee warranty approval or outcomes.
All costs related to warranty claims, including shipping, customs duties, taxes, and handling fees, are borne by the Client.
10. Fees, Payments & Refunds
Service fees cover coordination, sourcing, and support services only.
Shipping fees are charged at actual cost.
Unless otherwise expressly stated or agreed in writing, service fees are generally non-refundable.
In exceptional cases, refunds may be considered at our sole discretion in accordance with our Legal Disclosure.
11. Limitation of Liability
To the maximum extent permitted by law, PS Tokyo shall not be liable for loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity, loss of data, reputational harm, bodily injury or damage to property or any indirect, incidental, or consequential damages, whether arising in contract, tort (including negligence), or otherwise, even if such damages are foreseeable or the party was advised of the possibility of such damages.
The total aggregate liability arising out of or in connection with these Terms and Services, whether in contract, tort (including negligence), breach of statutory duty, indemnity, or otherwise, shall not exceed the fees paid or payable by Client.
Client agrees to indemnify us and our employees, officers, and agents from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to any personal injury or death suffered by the Client or any third party, to the extent such injury or death results from (i) the acts or omissions of the Client, (ii) the Client’s failure to follow our instructions, safety requirements, or any applicable rules and laws, or (iii) the Client’s misuse of any equipment, facilities, or services provided by us. This indemnity does not apply to the extent that such injury or death is caused by our gross negligence or willful misconduct.
Any liability, if applicable, shall not exceed the fees paid for the relevant service.
12. Intellectual Property
All content on this website, including text, images, and branding, is the intellectual property of PS Tokyo and may not be used without prior written consent.
PS Tokyo will collect, use, store, and process any personal data provided by the Client in accordance with applicable data-protection laws.
13. Force Majeure
13.1 Force Majeure Event means any event beyond the reasonable control of a party, including but not limited to natural disasters, epidemic, pandemic, war, terrorism, civil unrest, government action, labour disputes, failure of utilities, or internet or telecommunications outages.
13.2 Neither party shall be liable for any delay or failure to perform its obligations (other than payment obligations) caused by a Force Majeure Event, provided that the affected party notifies the other in writing.
14. Termination & Suspension
14.1 We may suspend or terminate any Service with immediate effect by written notice if: (a) the Client fails to make any payment when due and does not cure within 7 days of notice; (b) the Client breaches these Terms or any applicable third party terms; (c) a Force Majeure Event renders performance commercially impracticable; or (d) the Client becomes insolvent or enters bankruptcy proceedings.
14.2 Upon termination, all outstanding fees become immediately due and payable.
14.3 Clauses that by their nature should survive termination (including Limitation of Liability, Indemnity, Governing Law & Jurisdiction, and Intellectual Property) shall continue in full force.
15. Client Representations & Warranties
The Client represents and warrants that:
a. all information provided to PS Tokyo is accurate, complete, and not misleading;
b. the Client has full authority and legal capacity to enter into and perform under these Terms;
c. the Client will comply with all applicable laws, regulations, and third-party terms in connection with the Services and further ensure that all sourced, shipped, or exported items are not used in violation of any applicable export-control, customs, or sanctions laws;
d. any specifications, designs, or materials supplied for Custom Orders do not infringe any third-party intellectual-property or other rights.
The Client shall indemnify, defend, and hold harmless PS Tokyo from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to a breach of this clause.
16. Payment Terms
16.1 Invoices are payable in full within 15 days of issuance unless otherwise agreed in writing.
16.2 Overdue amounts shall accrue interest at 3% per month from the due date until paid.
17. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Japan.
18. Acceptance of These Terms
By requesting services, confirming an order, making a payment, or providing written confirmation via email or messaging platforms, the Client agrees to be bound by the version of these Terms in effect at that time.
